Please read these Terms of Service carefully before using our services. By accessing or using our services, you agree to be bound by these terms.

Acceptance of Terms

By accessing or using our services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

Use of Services

Account Registration

To access certain features of our services, you may be required to create an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activities under your account

Acceptable Use

You agree not to:

  • Use our services for any unlawful purpose

  • Transmit any harmful, threatening, or offensive content
  • Attempt to gain unauthorized access to our systems

Intellectual Property

Our Content

All content, features, and functionality of our services are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Your Content

You retain ownership of the data you enter into the service — your clients, products, quotes, orders, invoices and any documents generated from them. It remains yours.

You grant us only the permission we need in order to operate the service for you: to store, process, back up and transmit that data for the purpose of providing the features you use — for example, generating an invoice PDF, or transmitting an invoice to the recipient you address it to over the Peppol network.

We do not acquire any right to use your data for our own purposes. We do not publish it, sell it, share it with third parties except where a feature you use requires it, or use it to train models. This permission ends when you delete the data or your organization.

Payment Terms

Fees

Some features require payment. You agree to pay the applicable fees as described to you. Fees already incurred are non-refundable unless otherwise stated or unless Belgian law requires otherwise.

Billing

We may bill you through an online account or other methods. You authorize us to charge your chosen payment method for all applicable fees.

Termination

We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including if you breach these Terms of Service.

Upon termination:

  • Your right to use our services will immediately cease
  • We may delete your account and any associated data
  • Provisions that should survive termination will remain in effect

🚨 Your accounting records are your responsibility. Belgian law obliges you to preserve your accounting documents for a period that does not end when you stop using this service. Export or download anything you are required to keep before your account or organization is deleted — we do not keep a copy on your behalf afterwards, and we cannot produce one later.

Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

  • Our services will be uninterrupted or error-free
  • Defects will be corrected
  • Our services are free of viruses or harmful components

Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits or revenue
  • Loss of data
  • Loss of goodwill
  • Business interruption

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses arising out of:

  • Your use of our services
  • Your violation of these Terms of Service
  • Your violation of any rights of another party

Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of any material changes by posting the new terms on our website. Your continued use of our services after such changes constitutes acceptance of the new terms.

Data Protection

Where you record personal data in the service — your clients, your suppliers, your documents and their attachments — you are the data controller and we are your processor under the GDPR. That relationship is governed by our Data Processing Agreement, which is incorporated into these Terms of Service by reference and forms part of the agreement between us. Accepting these terms means accepting it.

The agreement uses, without modification, the standard contractual clauses adopted by the European Commission on 4 June 2021 under Article 28(7) GDPR, and annexes to them the description of the processing, our technical and organisational measures, and the full list of our sub-processors with the location of every copy of your data.

We give you 30 days' written notice before adding or replacing a sub-processor, and you may object. A copy countersigned by both parties can be issued on request to info@itops.be.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Belgium, without regard to conflict of law principles. The Belgian courts have jurisdiction over any dispute arising from them.
